If Lion is only available as a downloaded upgrade from SL, then you have to start with an illegal virtual SL unless you have SL server. This is either a backdoor way of preventing Lion server from legally running in a VM or installing/copying Lion other than by downloaded upgrade is simpler than we yet think.
