For some reason OSX believes that at least one file on the disk is still in use. It could be that some program does not clean up properly or it could be an OSX bug. Or it could even be a hardware problem. Shutting the system down and then removing the disk should be a safe way to clean things up. So your experience with the drive not ejecting after a reboot is bothersome. Run something like Disk Warrior on the drive to see if it is ok.
